Terms of Service

These terms are an agreement between you and Cybergarden Software (“we”, “us”), the operator of OdooConsole (the “Service”). By creating an account or using the Service, you agree to them. If you are using the Service for an organisation, you confirm you are authorised to accept these terms on its behalf.

1. The Service

OdooConsole provides hosted instances of Odoo Community (version 19), each with an optional MCP endpoint that lets an AI assistant you authorise read and change that instance’s data over a scoped connection. Odoo Community is third-party software licensed under the LGPLv3; we host it, we do not license it to you, and Enterprise-only features are not included.

2. Accounts

You must provide accurate information, keep your credentials secure, and are responsible for activity under your account. You must verify your email to authorise connectors. Notify us promptly of any unauthorised use.

3. Plans, billing, and cancellation

  • Free plan. One always-on instance, offered at no charge and provided “as is”. We may set reasonable resource limits.
  • Paid plans. Billed monthly in advance in US dollars through our payment processor, Stripe, and renew automatically until cancelled. Prices are shown on the pricing page and exclude any applicable taxes.
  • Plan limits. Each plan allows a set number of instances. Creating more requires an upgrade.
  • Cancellation. You can cancel at any time from the billing portal. Access continues until the end of the paid period.
  • Refunds. Payments are non-refundable except where required by law. If you believe you were charged in error, contact us.
  • Changes. We may change prices or plan features with at least 30 days’ notice before your next renewal; continued use after a change takes effect is acceptance of it.
  • Non-payment. If a charge fails, we may retry it and, after a reasonable period, suspend or downgrade your account.

4. Acceptable use

You agree not to use the Service to:

  • break the law or infringe others’ rights;
  • store or distribute malware, or attempt to breach, overload, or probe the Service or other tenants’ isolation;
  • send spam or unlawful communications, or mine cryptocurrency;
  • resell or provide the Service to third parties except as your plan permits (for example, agency plans running client instances);
  • use it for content or activity that is illegal, abusive, or dangerous.

We may suspend or terminate accounts that violate this section, and where practical we will tell you why.

5. Your data and AI connectors

The data you put into your instances is yours. You grant us the limited rights needed to host, back up (on plans that include backups), and operate it for you. You are responsible for the lawfulness of the data you store and for what your authorised AI connectors do — an MCP grant can read and change the instance it is scoped to, so grant only what you intend and revoke access you no longer need. 6. Your responsibilities

You are responsible for your own configuration, users, and any custom modules you install, and for keeping your own copies of anything critical. Backups are included only on the plans that list them.

7. Availability

We work to keep the Service available and reliable but do not guarantee uninterrupted operation. We may perform maintenance, and may modify or discontinue features. We are not liable for downtime caused by factors outside our reasonable control.

8. Third-party software

Odoo, PostgreSQL, and other components are provided by their respective authors under their own licences. Your use of them is subject to those licences, and we make no warranty on their behalf.

9. Termination and export

You may stop using the Service and delete your instances at any time. We may suspend or terminate the Service for a serious or repeated breach of these terms, or as required by law. On termination you may request an export of your data — a PostgreSQL dump and your filestore — for a reasonable period before deletion, at no charge.

10. Warranties

The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. Nothing in these terms excludes rights that cannot lawfully be excluded, including certain consumer guarantees under Australian law.

11. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages, or for lost profits, data, or goodwill. Our total liability arising from the Service in any 12-month period is limited to the amount you paid us for the Service in that period.

12. Indemnity

You agree to indemnify us against claims arising from your use of the Service, your data, or your breach of these terms, to the extent permitted by law.

13. Governing law

These terms are governed by the laws of New South Wales, Australia, and you and we submit to the non-exclusive jurisdiction of its courts, without affecting any mandatory consumer rights in your place of residence.

14. Changes to these terms

We may update these terms. If a change is material, we will update the date above and, where appropriate, notify you. Continued use after a change takes effect is acceptance of the updated terms.
